Article 1: Definitions

In these Terms, the following definitions apply:

Article 2: Acceptance & Eligibility

2.1 Agreement to Terms

By installing, accessing, or using the Extension, you acknowledge that you have read, understood, and agree to be bound by these Terms of Service. If you do not agree, you must immediately uninstall the Extension and cease all use of the Service.

2.2 Eligibility

You must be at least eighteen (18) years of age to use this Service. By using the Extension, you represent and warrant that you meet this age requirement and have the legal capacity to enter into a binding agreement.

2.3 Authority

If you are using the Extension on behalf of a business or organisation, you represent that you have the authority to bind that entity to these Terms.

Article 3: License Grant

3.1 Limited License

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable licence to install and use the Extension solely for your personal or internal business purposes.

3.2 Restrictions

You may not: (a) sublicense, sell, resell, transfer, assign, or distribute the Extension; (b) modify, adapt, or create derivative works based on the Extension; (c) reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of the Extension or its backend services; (d) access the Service in order to build a competitive product or service.

3.3 Ownership

The Extension, including all intellectual property rights therein, remains the exclusive property of ReplyQuicker. These Terms do not grant you any ownership rights in the Extension or its underlying technology.

Article 5: AI-Generated Content Disclaimer

5.1 Nature of AI Content

The Extension uses artificial intelligence to generate suggested reply text. AI Content is provided as a draft suggestion only. AI systems may produce inaccurate, incomplete, misleading, or inappropriate content ("hallucinations").

5.2 Human-in-the-Loop Responsibility

You are solely and entirely responsible for reviewing, editing, and approving any AI Content before posting it publicly. By using the "Use Reply" or "Copy" functionality, you accept full responsibility for the content you publish.

5.3 No Guarantee

We do not guarantee the accuracy, quality, appropriateness, legality, or fitness for any particular purpose of any AI Content. We expressly disclaim all liability arising from your reliance on or publication of AI Content.

Article 6: Billing & Payments

6.1 Free Plan

The Free Plan provides up to five (5) AI-generated replies per calendar month at no charge. Usage resets on the first day of each calendar month.

6.2 Pro Plan

The Pro Plan is available for $8.00 USD per month, providing unlimited AI-generated replies. Payment is processed securely through Stripe.

6.3 Automatic Renewal

Pro Plan subscriptions renew automatically each month. You will be charged the applicable subscription fee at the beginning of each billing cycle unless you cancel before the renewal date.

6.4 Taxes

All fees are exclusive of applicable taxes (including VAT). Taxes are calculated and applied at checkout by Stripe based on your location.

6.5 Cancellation

You may cancel your Pro Plan at any time through your Stripe billing portal. Upon cancellation, you will retain access to Pro features until the end of your current billing period.

Article 7: Refund Policy

Due to the nature of AI token consumption, all payments are non-refundable. Once AI credits are consumed, the computational cost has been incurred and cannot be reversed. By subscribing to the Pro Plan, you acknowledge and accept this no-refund policy.

Article 8: Indemnification

You agree to indemnify, defend, and hold harmless ReplyQuicker, its officers, directors, employees, and agents from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of or related to: (a) your use of the Extension; (b) any AI Content you publish; (c) your violation of these Terms; (d) your violation of any applicable law or regulation; or (e) any claim by a third party related to content you posted using the Extension.

Article 9: Limitation of Liability

9.1 Disclaimer of Warranties

The Extension is provided on an "AS IS" and "AS AVAILABLE" basis without warranties of any kind, whether express, implied, or statutory, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

9.2 Limitation

To the maximum extent permitted by applicable law, in no event shall ReplyQuicker be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of revenue, loss of profits, loss of business, loss of data, or reputational damage, whether arising from contract, tort, or otherwise.

9.3 Cap on Liability

Our total aggregate liability to you for all claims arising out of or relating to these Terms or the Service shall not exceed the total amount you paid to us in the twelve (12) months immediately preceding the event giving rise to the claim.

Article 10: Service Availability & Modification

10.1 Availability

We strive to maintain high availability of the Service but do not guarantee uninterrupted, error-free, or secure access. The Service may be subject to limitations, delays, and other problems inherent in the use of the internet and electronic communications.

10.2 Modification

We reserve the right to modify, suspend, or discontinue any part of the Service at any time, with or without notice. We shall not be liable to you or any third party for any modification, suspension, or discontinuation of the Service.

Article 11: Termination

11.1 Termination by You

You may terminate your use of the Service at any time by uninstalling the Extension and, if applicable, cancelling your Pro Plan subscription.

11.2 Termination by Us

We reserve the right to suspend or terminate your access to the Service at any time, for any reason, including but not limited to violation of these Terms, without prior notice or liability.

11.3 Effect of Termination

Upon termination, your right to use the Extension ceases immediately. Sections relating to Intellectual Property, Indemnification, Limitation of Liability, and Governing Law shall survive termination.

Article 12: Changes to Terms

We may update these Terms from time to time. Material changes will be communicated via the Extension or by email. Your continued use of the Service after such changes constitutes acceptance of the revised Terms. We encourage you to review these Terms periodically.

Article 13: Governing Law & Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of England and Wales. Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.

Article 14: Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that these Terms shall otherwise remain in full force and effect.

Article 15: Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and ReplyQuicker regarding the use of the Service and supersede all prior agreements, understandings, and communications.
